Definition of Crowdfunding
Crowdfunding, also known as collective investment, is a fundraising modality where multiple investors contribute amounts — often accessible — to finance projects, growing companies or innovative ideas.
The term crowdfunding comes from the English crowd (multitude) + funding (financing). Instead of depending on a single investor or financial institution, companies and entrepreneurs obtain capital from hundreds or thousands of people, democratizing access to the capital market.
Crowdfunding in Brazil: CVM Regulation
In Brazil, investment crowdfunding is regulated by the Securities and Exchange Commission (CVM) through CVM Resolution No. 88/2022 (also known as RCVM 88). This regulation establishes the rules for the operation of Electronic Participatory Investment Platforms (PEIP).
RCVM 88 defines important criteria such as:
- Fundraising limit of up to BRL 15 million per offering
- Maximum period of 180 days for fundraising
- Need to reach at least 2/3 of the goal for the offering to be considered successful
- Requirement of due diligence on issuing companies
- Use of segregated account to protect investor funds
